What is the purpose of Bylaws and Policies?

A nonprofit’s bylaws are considered a legal document that dictates how the organization must be governed.  Failure to follow the stipulations outlined in the bylaws can have devastating consequences for the organization. Having robust bylaws can shield your nonprofit from legal trouble. Bylaws help prevent and resolve problems by providing members with guidelines for how to address issues like removing a director or handling a conflict of interest.

The purpose of policies is to protect and steer the staff and the board as they fulfill the mission of the organization. They are a reference tool for appropriate action, ethical decision-making, and dealing with potential or actual conflicts.

Proper use of an organization’s bylaws not only provides the necessary structure for effective governance but also eliminates the guesswork so common among ineffective nonprofits.  Good governance establishes a foundation for good work among the chapter to meet our mission of being dedicated to the enhancement and promotion of the Sterile Processing Professional with education and leadership.
